1. Agreement

These Terms of Use ("Terms") constitute a legal agreement between you and PropertyForge AI Inc. ("PropertyForge," "we," "us" or "our") regarding your access to and use of the website located at propertyforgeai.life (the "Site") and any information, tools or materials made available through it. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Separate written agreements (proposals, statements of work, master service agreements or retainer contracts) govern paid consultancy engagements. If there is a conflict between these Terms and a signed engagement agreement, the signed agreement prevails for that engagement.

2. About PropertyForge

PropertyForge AI Inc. is an operations and portfolio engineering consultancy providing workflow diagnostics, control-matrix design, reporting-spine specifications and related advisory services with mandatory human review. PropertyForge is not a property manager, real-estate brokerage, agent, lifestyle brand, investment scheme, mortgage broker, financial advisor, investment dealer, insurance provider or software-as-a-service platform selling user subscriptions.

3. Permitted use

You may use the Site for lawful purposes consistent with these Terms, including learning about our Services, contacting us and reviewing published content. You agree not to:

• Use the Site in any manner that violates applicable federal, provincial or local law
• Attempt to gain unauthorised access to our systems, networks or data
• Introduce malware, automated scraping tools or other disruptive code
• Interfere with the Site's availability or security
• Misrepresent your identity or affiliation when submitting forms or enquiries
• Reproduce, republish or commercially exploit Site content without our prior written consent, except for limited personal or internal business reference
• Use Site content as a substitute for regulated property-management, brokerage, legal or financial advice

4. No property management, brokerage or investment services

Nothing on the Site constitutes an offer to manage property, collect rent, perform maintenance, buy, sell, lease or list real estate; a solicitation to enter a real-estate transaction; an investment opportunity; or the provision of brokerage or securities services. PropertyForge does not hold listings, show property, negotiate deals, collect commissions or operate pooled investment vehicles. Any portfolio references on the Site or in sample work are illustrative or anonymised.

5. Operations engineering and disclaimer of warranties

Content on the Site — including descriptions of workflow methodology, operational commentary, statistics, case summaries and downloadable materials — is provided for general information only. It is not tailored to your specific circumstances unless delivered under a signed engagement.

Blueprints, control matrices and reporting specifications described on the Site or delivered through Services are professional decision-support documentation. They are not guarantees of operational performance, cost reduction, occupancy improvement or implementation success, and not investment, tax or legal advice. Past operational results do not predict future outcomes.

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT AND QUIET ENJOYMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPERTYFORGE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR RELIANCE ON SITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (C$100) OR THE AMOUNT YOU PAID TO PROPERTYFORGE FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

7. Indemnity

You agree to indemnify, defend and hold harmless PropertyForge and its personnel from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your misuse of the Site, violation of these Terms, or infringement of any third-party rights, except to the extent caused by our gross negligence or wilful misconduct.

8. Intellectual property

The Site, including its design, text, graphics, logos, icons, images, layout and software, is owned by PropertyForge or its licensors and protected by Canadian and international intellectual property laws. The PropertyForge AI name, logo and "THE BUILD" design elements are our trade identity. You may not use them without prior written permission except as necessary for good-faith reference to our Services.

Deliverables provided under paid engagements are licensed or assigned as specified in the relevant engagement agreement. Unless otherwise agreed in writing, client-supplied data remains your property; PropertyForge retains ownership of pre-existing methodologies, tools and templates.

9. Third-party links and services

The Site may link to third-party websites or services for convenience. We do not control and are not responsible for third-party content, privacy practices or availability. Your use of third-party resources is at your own risk and subject to their terms.

10. Privacy and cookies

Our collection and use of personal information is described in the Privacy Policy, including compliance with PIPEDA and BC PIPA where applicable. Our use of cookies and similar technologies is described in the Cookie Policy. By using the Site, you acknowledge those policies.

11. Contact forms and communications

When you submit our contact form, you agree that the information provided is accurate to the best of your knowledge and that you consent to our processing it to respond to your enquiry as described in the Privacy Policy, in accordance with PIPEDA. Form messages are sent with subject prefix [PropertyForge AI] and processed in America/Vancouver time. We aim to respond within one business day but do not guarantee response times.

12. Modifications

We may revise these Terms at any time by posting an updated version on the Site with a new effective date. Your continued use after changes become effective constitutes acceptance of the revised Terms where permitted by law. Material changes to terms governing active engagements require agreement through the engagement contract process.

13. Termination

We may suspend or terminate access to the Site, without notice, for conduct we believe violates these Terms or poses risk to the Site, our users or third parties. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnity and governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that the courts of British Columbia, sitting in the City of Vancouver, have exclusive jurisdiction over disputes arising from or relating to these Terms or the Site, except where mandatory consumer protection rules provide otherwise.

15. General

These Terms, together with the Privacy Policy, Cookie Policy and any applicable engagement agreement, constitute the entire agreement regarding Site use. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a corporate transaction.
